Terms of Use and Sale — Socialoop
Last updated: 15 October 2026 (draft)
1. Purpose and parties
These terms ("Terms") govern the use of Socialoop (Telegram bot, web pages on socialoop.me and the Socialoop app on the Meta platform), operated by OUTLINE, a French SASU with share capital of 1 €, RCS Nice no. 924 870 298, registered office 102 avenue Saint-Lambert, 06100 Nice ("we"), and the person using it ("you" or the "Customer").
The service is for professionals only, acting for the purposes of their business: venues (restaurants, bars, beauty salons, etc.) and social media managers ("Managers"). Consumer protection law does not apply.
By pressing the acceptance button in the bot, you accept these Terms, the Privacy Policy and the Data Processing Agreement (Appendix 1, "DPA").
2. The service
Socialoop analyses the photos and videos you entrust to it, selects the best material, produces posts (carousels, stories, reels), writes captions, suggests a publishing plan and, if you connect a professional Instagram account, publishes on your behalf through Meta's official API. An OUTLINE editor may review content flagged as uncertain.
Two publishing modes, changeable at any time:
- "With approval": each post waits for your approval;
- "Autopilot": you approve the monthly plan, then posts go out automatically.
What the service includes (formats, number of posts, networks) depends on your plan and may evolve. Features relying on third parties (Instagram, Telegram, cloud storage) are provided within the limits those third parties set.
Test phase. While the service is offered as a pilot or beta, it is provided free of charge or at a reduced price, "as is", without any service-level commitment.
3. Account
You are responsible for the accuracy of the information you provide and for the use of your Telegram account and the accounts you connect. Notify us promptly of any unauthorised access.
Managers. A Manager may manage several clients and connect them in the Manager's own name. The Manager warrants holding each client's mandate to connect their accounts, share their content and publish on their behalf, and is liable to us for their clients' compliance with these Terms. The service may be shown to a Manager's clients without the Socialoop brand.
4. Your content and responsibilities
You remain the owner of your content. You grant us, for the duration of the service, a non-exclusive, worldwide, royalty-free licence to reproduce, adapt (crop, edit, retouch, subtitle), translate and publish it on the accounts you have connected, solely to provide the service.
You warrant that:
- you hold the rights to the photos, videos, texts, logos and music you provide;
- where required, you have obtained the consent of identifiable people in the content (image rights) and informed them in accordance with the GDPR;
- your content and business information (prices, promotions, claims) are lawful, in particular under rules on advertising, health, alcohol and commercial practices;
- you comply with the terms of Instagram, Facebook and Telegram.
You will indemnify us against any third-party claim based on your content or on a post you approved or let go out in "Autopilot" mode.
We may refuse or remove manifestly unlawful content.
5. AI-produced content
Texts, selections and edits are produced with the help of artificial intelligence and may contain errors (prices, opening hours, spelling, tone). You are responsible for checking them before approval; in "Autopilot" mode you accept that posts go out without individual approval. Socialoop does not generate realistic images of people or places: only your own images are used.
Subject to your rights in the original content, the posts produced for you belong to you upon delivery; we retain our rights in the service, our models, templates, editing formulas and know-how.
6. Prices, payment, referrals
Plan prices are shown in the bot or on socialoop.me, excluding taxes unless stated otherwise. The subscription is monthly, paid in advance by card via Stripe, and renews automatically until cancelled. An invoice is issued for each payment.
If a payment fails, you receive reminders for 7 days; after that, publishing is paused. Your data is kept for 30 days, then deleted if the situation is not resolved. Late payments automatically incur the penalties provided for in Article L441-10 of the French Commercial Code and the fixed €40 recovery fee.
Referrals. When a professional you invited pays their first month, you receive one free month (for a Manager: one month of one client slot), up to 12 accumulated months. The invited person receives the benefit shown in the invitation. A given Telegram account can give rise to only one benefit. Free months have no cash value.
We may change our prices with at least 30 days' notice; the new price applies from the next period, and you may cancel before then.
7. Term and termination
You can cancel at any time in the bot; cancellation takes effect at the end of the paid period, with no refund for the current period. We may suspend or terminate your access for serious breach of these Terms (unlawful content, non-payment, fraudulent use) after a formal notice left unremedied for 8 days, or immediately in an emergency or where required by law.
When the contract ends, your data is deleted according to the periods in the Privacy Policy; you may request a copy of your produced content before deletion.
8. Availability and third-party services
We make reasonable efforts to keep the service available, without guaranteeing results. Socialoop is not affiliated with or endorsed by Meta, Instagram or Telegram. We are not responsible for outages, rule or API changes, account restrictions, post removals or reach decreases decided by those third parties. We do not guarantee any result in terms of followers, reach, sales or customers.
9. Liability
Our liability is limited to direct and foreseeable damage resulting from a proven fault, and capped at the amount you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect losses (lost revenue, customers, reputation, or data whose originals you keep). These limits do not apply in case of gross negligence or wilful misconduct, or where the law forbids them.
Neither party is liable for a failure caused by force majeure (Article 1218 of the French Civil Code).
10. Personal data
Processing of your account data is described in the Privacy Policy. For personal data contained in your content, we act as a processor under the DPA (Appendix 1), which forms part of these Terms.
11. Changes to the Terms
We may change these Terms; you will be notified in the bot at least 15 days before the changes take effect. If you do not accept them, you may cancel before that date.
12. Governing law and disputes
These Terms are governed by French law. The parties will first seek an amicable solution. Failing that, exclusive jurisdiction is granted to the courts within the jurisdiction of the Court of Appeal of Aix-en-Provence, including in case of multiple defendants or third-party claims.
The French version of these Terms prevails over any translation.
